Dispatch Authority Agreement

This Dispatch Authority Agreement ("Agreement") is entered into between the undersigned Carrier and Teklyn Logistics ("Dispatcher"), effective upon electronic signature below.

GRANT OF AUTHORITY: Carrier hereby grants Teklyn Logistics limited, non-exclusive authority to act as their freight dispatcher, including negotiating and booking freight loads with brokers and shippers, handling load-related communications, and providing dispatch support services on Carrier's behalf.

DISPATCH FEE: Carrier agrees to pay Teklyn Logistics a flat fee of $125.00 per load successfully booked and confirmed. This fee is earned upon load acceptance and is non-refundable once a load is confirmed.

CARRIER OBLIGATIONS: Carrier represents and warrants that they hold valid and current FMCSA operating authority (MC and DOT numbers), maintain adequate cargo and liability insurance meeting all federal requirements, and will remain compliant with all applicable federal and state transportation regulations throughout the term of this agreement.

LIMITATION OF LIABILITY: Teklyn Logistics acts solely in a dispatch services capacity. Teklyn Logistics assumes no liability for cargo loss, damage, delays, accidents, violations, or any claims arising from Carrier's transportation operations. Carrier remains solely and fully responsible for all transportation operations and regulatory compliance.

INDEPENDENT CONTRACTOR: Carrier is an independent contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, or agency relationship beyond the limited dispatch authority granted herein.

TERMINATION: Either party may terminate this Agreement with 24-hour written notice. Termination does not affect fees owed for loads already booked.

GOVERNING LAW: This Agreement shall be governed by the laws of the State of Texas.

By electronically signing below, Carrier confirms they have read, understood, and agreed to all terms of this Dispatch Authority Agreement, and that they are authorized to sign on behalf of the carrier company listed.
